The company’s plans to develop a giant $1 billion office complex in downtown Houston fell apart last April after the city’s real estate market collapsed and Triad’s chief business partner in the project, the Mainland Savings Association, failed and was taken over by the Federal Savings and Loan Insurance Corp.

Dignitaries from the governor to the president of the Mormon Church were on hand as Khashoggi boasted of the glittering $600 million downtown complex his U.S. holding company, Triad America Corp., planned to build. It was to be anchored by two gold-colored 43-story office towers that would dwarf the nearby Mormon Church office building, the tallest structure in town.

This spring, however, construction on the project suddenly stopped, leaving an unseemly dirt hole two blocks from the Mormon Tabernacle. Most of Triad America’s corporate staff of nearly 100 has been laid off, chunks of the company’s property have been foreclosed and 47 lawsuits have been filed against it, mostly from creditors demanding more than $100 million in unpaid notes and bills.

Other company projects — including a 30-story Triad Center in Burbank, Calif., and a luxury resort in Aspen, Colo. — also have been abandoned. At the same time, the company’s plans to develop a 12,627-acre ranch near Tampa, Fla., have been clouded by a $90 million lawsuit filed in Los Angeles by the Aetna Casualty and Surety Co. Aetna, which guaranteed a $19 million loan for purchase of the ranch, has alleged that Khashoggi’s brother, Essam, fraudulently transferred ownership of the property to Triad to avoid repayment of the loan. Lawyers for Essam Khashoggi have denied the allegations.

“What happened is that, because of the drop in world oil prices, Adnan had to redirect some of his investments, and he was not able to finance his U.S. operations at the levels he had planned,” said Emanuel A. Floor, who until recently was executive vice president of Triad America and was a top company official for more than 12 years.

“And we got trapped,” he added. “In Houston, we had a piece of land in the worst real estate market in the country . . . . And we had a situation in Salt Lake — which had been a good market — where we were overbuilt, overleveraged and our plans just weren’t coming together.”

As improbable as it has appeared to some outsiders, the involvement of the high-living Khashoggi in this conservative Mormon stronghold dates from the early 1970s, when representatives of Howard Hughes’ Summa Corp. first approached him about undertaking a joint development project here. Hughes dropped out, but Khashoggi was attracted to the city and eventually bought 900 acres that he turned into the Salt Lake International Center, a successful industrial park adjacent to the city airport.

      Khashoggi owns 12 estates, real estate in Houston and Denver, and a 1,600-acre ranch near Tampa, Fla.   In Paris, creditors have seized Khashoggi’s lavish DC-8 jet with its $250,000 sable bedspread. Other creditors won court orders to gain possession of his 114,000-acre ranch in Kenya.  In New York, a state court has seized Khashoggi’s two-floor Fifth Avenue duplex after he failed to pay a $2.2 milllion debt to Lonrho, a British mining and trading conglomerate.  Triad’s Oasis Petroleum Corp., Culver City, Calif., 13 months ago filed for bankruptcy, claiming more than $40 million in debts. Triad attorneys last June told officials of the 3rd District Court that Khashoggi’s U.S. companies were $163 million in debt.  Miller, at a recent federal court hearing, said Triad had assets of $80 million to $100 million if it sold a profitable subsidiary, Edgington Oil of Long Beach, Calif.  But a Utah federal judge, acting on a lawsuit by Sheraton Corp., prohibited Triad from selling Edgington to Skyhigh Resources Ltd. of Vancouver, British Columbia. Edgington in 1985 had sales of $500 million.  Sheraton claimed the sale was under the market value and that it was an inside deal to benefit Khashoggi, who owns a substantial portion of Skyhigh stock.

     Two investors who joined Adnan M. Khashoggi, the Saudi businessman, in financing the American arms sales to Iran were also in other business deals with Mr. Khashoggi, according to public records and sources familiar with the deal.

     The complicated dealings suggest that Mr. Khashoggi’s financing of the arms sales was an extension of his other commercial activities.

     The intertwined transactions also suggest that a dispute among investors in the Iran deal – which prompted Roy Furmark, a Khashoggi associate, to go to the Director of Central Intelligence, William J. Casey, in October – may have been linked to problems in Mr. Khashoggi’s other businesses.

     Last spring, for example, Mr. Khashoggi was experiencing cash shortfalls in several American investments, as well as in the Iran arms sale. A key figure in both cases was a Canadian businessman, Donald Fraser, according to public records and Congressional sources.

Two Investors From Canada

      Mr. Khashoggi has described the investors in the Iranian arms deal as being from Canada and the Cayman Islands, according to a report by ABC News. Congressional investigators have been told that two of the investors were Mr. Fraser and Ernest Miller, both Canadian business associates of Mr. Khashoggi, according to a source familiar with the investigation and public records.

     Records show that Vertex Finances S.A., a Cayman Island corporation in which both Mr. Miller and Mr. Fraser are listed as directors, lent Mr. Khashoggi $21 million in late 1985 and early 1986, about the time he was financing the Iran arms deals, a lawyer familiar with the transaction said. In addition, Euro Commercial Finances, a Cayman Island-based private bank headed by Mr. Fraser, made a $9 million loan to one of Mr. Khashoggi’s companies around the same time, according to The Salt Lake Tribune.

      Mr. Khashoggi served as a financial guarantor in some of the Iran purchases, with the Iranians paying him back through their representative, Manucher Ghorbanifar, according to bank documents and sources familiar with the financing.

      Mr. Khashoggi, although thought to be one of the world’s wealthiest men, has experienced financial difficulties over the last year and has been unable to generate enough cash to pay back some of his creditors, according to associates and public records. Mr. Khashoggi still has substantial assets in dozens of countries, but his short-term cash needs have presented a problem.

      These needs came at a time when he was acting as a guarantor for the Iran arms purchases, which may help explain why he had to turn to others to help him finance the arms deal. $25 Million in Advances Mr. Khashoggi has said the investors or financiers in the Iran deal were paid $2.5 million in interest payments for advances totaling $25 million in two deals. Congressional sources said there might be other investors besides Mr. Miller and Mr. Fraser. It is also possible that these investments were pegged to other transactions.

       Mr. Fraser, who has offices in Vancouver and Toronto, became president in March of Triad America, a Khashoggi company involved in investments in Salt Lake City and elsewhere. Mr. Fraser and Mr. Khashoggi are also major shareholders in Sky High Resources, a Vancouver company.

       Joseph Merrin, the public relations manager for Sky High, said Mr. Fraser was unavailable because he was in Boston trying to resolve a lawsuit by the Sheraton Corporation seeking to stop the sale to Sky High of a California petroleum refinery owned by Triad. Mr. Miller could not be located.

     Triad has recently experienced financial difficulties and is the subject of a number of lawsuits by creditors seeking recovery of more than $100 million.

     Mr. Khashoggi’s financial difficulties became evident last spring when payments to creditors in his Salt Lake City projects began to stop. At the same time, based on what Mr. Khashoggi and Mr. Ghorbanifar said Thursday night in televised interviews on ABC, Mr. Khashoggi was paid back only $5 million by Iran, though he had advanced $15 million on the final shipment. Says He Took $10 Million Loss

      The $10 million shortfall apparently prompted Mr. Furmark to inform Mr. Casey that a dispute among the investors might result in disclosure of the secret Iran dealings. Mr. Khashoggi, while not providing any documentation, has said he absorbed the loss, thus apparently keeping others from suing him over the $10 million.

      Mr. Furmark, an obscure oil trader, has had business dealings with Iran and Canada as well as with Mr. Khashoggi, according to sources and documents.

      In the early 1980’s Mr. Furmark worked with Cyrus Hashemi, an Iranian businessman. in a plan to import Iranian oil to a refinery in Newfoundland according to David Mizrahi, the publisher of a Middle Eastern newsletter and a friend of Mr. Hashemi, who died in August.

       Also involved in the plan was the family of John Shaheen, a New York businessman who once owned the Canadian refinery, according to Mr. Mizrahi and published reports. Mr. Furmark came to know Mr. Casey through Mr. Shaheen, who had been a law client of Mr. Casey’s and an associate of his dating back to wartime intelligence work.

     Mr. Furmark later joined in a venture in 1985 with Mr. Hashemi and Mr. Khashoggi to trade Iranian oil and supply arms to Iran, according to public documents and associates of the men. Amiram Nir: Adviser on terrorism to Shimon Peres when Mr. Peres was the Israeli Prime Minister. Early last year Mr. Nir took over handling Israel’s arms deals with Iran from David Kimche, former Director General of the Israeli Foreign Ministry. Mr. Nir met with Mr. Khashoggi in London. Ali Bin Mussallam: Saudi business contact of Mr. Khashoggi. He is said to have persuaded King Fahd to make contact with Iran. Charles P. Tyson: Left the National Security Council staff to work for Mr. Khashoggi. Mr. Khashoggi said Mr. Tyson introduced him to Robert C. McFarlane, former national security adviser who traveled secretly to Iran. McFarlane is said to met Mr. Khashoggi several times, including once at the White House. Albert Hakim: Iranian-born businessman, now United States citizen, with close ties to Saudi Arabia. His partner in the Stanford Technology Trading Company is Richard V. Secord, retired Air Force general, who was involved in both arms sales to Iran and secret aid to the Nicaraguan rebels. Donald Fraser and Ernest Miller: Canadian business associates of Mr. Khashoggi who invested in Iran arms deal. They were also directors in a corporation based in the Cayman Islands that lent Mr. Khashoggi $21 million about the time he financed arms deals with Iran. Roy M. Furmark, an energy consultant who warned his friend, William Casey, the Director of Central Intelligence, that the Canadian investors in the arms deals were threatening to sue to recover their money.

For the grab bag of less luxurious listings that constitute the bulk of the RTC portfolio – foreclosed homes, motels, shopping malls, office and apartment buildings, industrial parks and vacant land – the market seems even more forbidding. Still, plucky sales agents are rising to the challenge. “The roof dips a tudge on one side, the porch has a hole in it and there are termites,” admits Kat Woolford, who is hawking a $7,500, two-bedroom shack on a third of an acre in Tomball, Tex., north of Houston. “But it’s a cute hideaway.”

Just as Americans have grown used to the idea of junk bonds, a new financial bugaboo looms on the horizon: Junk real estate. Set in desirable communities, many of the properties now being jettisoned by insolvent savings and loan institutions seem to be paradise. But like the 9-acre swath of Long Island beachfront off the Texas Gulf Coast, spectacular vistas rarely live up to a developer’s dreams. Over half of the $400,000 Laguna Madre parcel lies underwater. There is no sewer hookup and no sea wall, and there are high fees to maintain a private bridge that connects the island with Port Isabel on the mainland. “It could all go underwater in a hurricane,” admits a spokesman for La Hacienda Savings Association in San Antonio, which holds the property.

Peddling Texas swampland is just one of the dirty jobs facing the Resolution Trust Corporation (RTC), the U.S. agency that opened shop in early August to administer the coup de grace to sick thrifts. The mop-up has landed federal regulators in the same muck that mired the S&L industry: Thousands of white-elephant properties, most located in markets as soft as quicksand. The collection includes such exotica as a $900,000 equestrian center (reduced from $1.5 million) north of San Antonio, the $25 million StarPass golf-course community in Tucson, a historic bank building in Houston, a boarded-up lumberyard surrounded by wetlands near Tampa, Fla., 77 condominium units on the tip of Long Island, N.Y., and a 55 percent stake in the opulent $200 million Phoenician Resort in Scottsdale, Ariz. All told, RTC officials estimate they now must dispose of close to $16 billion worth of real estate currently on the books of 268 failed thrifts in 33 states.

Fool’s gold. Most of the properties will fetch pennies on the dollar’s worth of book value – if they can be unloaded at all. The 6-acre McCune Mansion in Paradise Valley outside of Phoenix is typical of the RTC’s daunting task. Built in the 1960s by oil tycoon Walker McCune for his young bride, the 53,000-square- foot house boasts numerous kitchens, a ballroom with an $80,000 chandelier, an Olympic-sized swimming pool and ice-skating rink, a theater, a darkroom, its own beauty salon, a 14-car garage and a guest house. Mrs. McCune refused to move in, and the place saw a succession of owners, most recently Gordon Hall, cofounder of the Nautilus fitness company. RTC inherited the property when it took over the bankrupt Southwest Savings & Loan Association earlier this year. “There’s not a great market for 53,000-square- foot houses,” says Jack Lake, the RTC agent charged with finding a buyer.

The heat is on for the RTC to speed up its fire sale. The agency has three years to gather up all the nation’s ailing S&L’s and seven years to dispose of acquired properties. Ideally, the feds would like to get rid of their sick thrifts as whole entities, bad real-estate investments and all. But most investors are interested only in the best assets, saddling the government with the white elephants. The longer the RTC hangs on to the losers, the higher the taxpayers’ tab, already estimated at $166 billion.

But the disposal process is being hindered by the fact that no one knows how much sour real estate the RTC will have to offer. An initial inventory of properties currently under its wing will not be completed until the end of this month. And that is just the beginning. Leonard Sahling, real-estate analyst for Merrill Lynch in New York, figures the government will wind up with at least a $50 billion portfolio when it actually takes over all the thrifts that now are technically insolvent. Others put the total at $100 billion as more S&L’s go belly up in the years ahead.

Nor can the RTC simply dump its holdings on the market wholesale. “Everything we have is for sale,” says Thomas Horton, the agency’s deputy director, “but everything is not for sale at any price.” The government is barred by law from selling its assets for less than 95 percent of fair market value in the six depressed states of the Southwest – Texas, Oklahoma, Arizona, Arkansas, Colorado and Louisiana – where about two thirds of the property is located. Still, “fair market value” is in the eye of the appraiser; Horton admits that properties that cannot be sold at 5 percent discounts will be “re-evaluated” until buyers are found.

The most promising properties in the RTC’s bag, mainly apartment and office buildings whose rents cover expenses, are sure to be snapped up by insurance companies, pension funds and other “deep pocket” investors. But such quality properties are in the minority. The largest proportion of the government’s holdings consists of vacant land, a tough commodity to peddle in the Southwest and other overbuilt areas.

In taking over Charles Keating’s notorious Lincoln Savings & Loan, the RTC acquired some $1 billion worth of property, including plots for 17 planned communities in Texas, Arizona, Colorado, Florida and Louisiana. One of them is the 20,000-acre Estrella Project in the desert 20 miles southwest of Phoenix. Although Lincoln invested $200 million in preparatory work, only three homesites have been sold. Now the RTC’s agent, Mark Randall, is trying to figure out what to do with the property. “Vacant real estate has not fared well in the Arizona economy,” he observes sadly.

Other parcels may not draw buyers – no matter how attractive the price. “They’ll have to be plowed under to grow soybeans,” predicts Michael Aronstein, president of Comstock Partners, a New York investment firm. But while developers may sniff at many of the government’s offerings, interest is cropping up in some surprising quarters. Conservationists already are picking through the pile of unwanted real estate for wildlife preserves and other ecologically valuable property. The Florida Keys Land & Sea Trust, for instance, paid $1.35 million for Crane Point Hammock, a 63 1/2-acre estate that was going to be turned into a resort before its developers went broke. Now, it is slated to become a nature center.
